Mergers & Acquisitions

Merger and acquisitions assignments take a variety of forms. We have worked for the acquiring organization, the target organization, and for both organizations as a neutral facilitator. Some projects involve purchase or merger of assets. Others involve collaboration and/or formation of a joint venture. We have also worked for organizations who are leaving or have left an unsuccessful merger, assisting with the development of a strategy for independence. While the structure of the assignments vary, they typically involve either all or a subset of the following tasks:

  • Evaluating the market and business opportunity and building the strategic rationale for a business combination 
  • Identifying prospective acquisition or merger candidates 
  • Analyzing value and, if appropriate, developing an opinion on fair market value 
  • Negotiating/facilitating a letter of agreement
  • Designing an organization structure for the combined entity
  • Planning implementation
  • Developing a strategy for the new organization
